Bill of materials

材料清单：

(1) Name pre-approval (industry and commerce)

（1）名称预先核准（工商）

1. Enterprise name pre-approval application signed by all investors.

1、全体投资人签署的《企业名称预先核准申请书》。

2. The certificate of designated representative or jointly authorized agent signed by all investors and the copy of ID card of designated representative or jointly authorized agent (if it is submitted in combination with the application for pre-approval of enterprise name, this item is not required to be submitted); the authority and authorization period of designated representative or jointly authorized agent shall be indicated.

2、全体投资人签署的《指定代表或者共同委托代理人的证明》及指定代表或者共同委托代理人的身份证复印件（与企业名称预先核准申请书合并提交的，本项无需提交）；应标明指定代表或者共同委托代理人的权限、授权期限。

3. If the name of the application is titled “China”, “China”, “state”, “national” or “international”, a copy of the approval document issued by the State Council shall be submitted;

3、申请名称冠以“中国”、“中华”、“国家”、“全国”、“国际”字词的，提交国务院的批准文件复印件；

4. For special application names, the name registration authority may require investors to submit relevant explanations or supporting materials;

5. In case of any inconsistency between the authority for pre-approval of the enterprise name and the proposed enterprise registration authority, the investor shall also submit the preliminary examination opinion form for the enterprise name of the proposed enterprise registration authority.

5、企业名称预先核准的机关与拟设企业登记机关不一致的，投资人还应当提交拟设企业登记机关的《企业名称初审意见表》。

6. If the name of an enterprise group or its abbreviation is used in the name of a subsidiary of an enterprise group, a copy of the enterprise group registration certificate stamped with the seal of the parent company of the enterprise group shall be submitted; the joint-stock company shall also submit the certificate of consent of the parent company of the enterprise group.

6、企业集团的子公司名称中冠以企业集团名称或者简称的，应当提交加盖企业集团母公司印章的《企业集团登记证》复印件；参股公司还应当提交企业集团母公司同意的证明。

(2) Contract, reply to the Articles of Association, Approval Certificate of Foreign-funded Enterprise (commercial)

（2）《合同》、《章程》批复、外资企业批准证书（商务）

1. Sino-foreign joint venture

1、中外合资

(1) The application of the investor for the establishment of a joint venture or cooperative enterprise;

（一）投资方关于设立合资、合作企业的申请；

(2) A feasibility study report jointly signed by all investors;

（二）投资各方共同签署的可行性研究报告；

(3) The contract, articles of association and their annexes signed by all the investors;

（三）投资各方共同签署的合同、章程及其附件；

(4) The business license of the Chinese party (photocopy); the main qualification certificate of the foreign party (notarial certificate and certificate). If the foreign investor is an individual, the identity certificate (original and copy) shall be provided;

（四）中方的营业执照（复印件）；外方的主体资格证明(公证书、认证书)。外国投资者为个人的，应提供身份证明（原件及复印件）；

5. Bank credit certificate of the foreign party;

（五）外方的银行资信证明；

(6) The list of the members of the board of directors of the proposed foreign-funded enterprise and the letter of appointment of the directors of each investor;

（六）拟设立外商投资企业董事会成员名单及投资各方董事委派书；

(7) The notice of enterprise name pre-approval issued by the administrative department for Industry and Commerce (copy).

（七）工商行政管理部门出具的企业名称预先核准通知书（复印件）。

 

 

2. Sole proprietorship

2、独资

(1) The investor’s application for the establishment of a sole proprietorship enterprise;

（一）投资方关于设立独资企业的申请；

(2) The feasibility study report signed by the investor;

（二）投资方签署的可行性研究报告；

(3) The articles of association signed by the investor and its attachments;

（三）投资方签署的章程及其附件；

(4) The qualification certificate of the investor (notarial certificate and certificate). If the foreign investor is an individual, the identity certificate (original and copy) shall be provided;

（四）投资方的主体资格证明(公证书、认证书)。外国投资者为个人的，应提供身份证明（原件及复印件）；

5. The bank credit certificate of the investor;

（五）投资方的银行资信证明；

(6) The list of the members of the board of directors of the proposed wholly foreign-owned enterprise and the letter of appointment of the directors of each investor;

（六）拟设立外商独资企业董事会成员名单及投资各方董事委派书；

(7) The notice of enterprise name pre-approval issued by the administrative department for Industry and Commerce (copy).

（七）工商行政管理部门出具的企业名称预先核准通知书（复印件）。

1. One original and one copy of the approval for the establishment of the enterprise from the Bureau of Commerce;

1.商务局企业设立批复原件、复印件一份；

2. Notice of enterprise name pre-approval issued by the industrial and commercial administration department (copy);

3. The original and copy of the ID card of the handler. For the second generation ID card, please copy the front and back on one page.

3. 经办人身份证原件及复印件，二代身份证请将正反面复印在一页纸上。

1. Application for company establishment registration signed by the legal representative of the company.

1、公司法定代表人签署的《公司设立登记申请书》。

2. The certificate of designated representative or jointly authorized agent signed by all shareholders and the copy of ID card of designated representative or jointly authorized agent shall indicate the handling matters, authority and authorization period of designated representative or jointly authorized agent.

2、全体股东签署的《指定代表或者共同委托代理人的证明》及指定代表或委托代理人的身份证复印件；应标明指定代表或者共同委托代理人的办理事项、权限、授权期限。

3. Articles of association signed by all shareholders.

3、全体股东签署的公司章程。

4. A copy of the qualification certificate of the shareholder or the identity certificate of the natural person.

4、股东的主体资格证明或者自然人身份证件复印件。

5. Capital verification certificate issued by a legally established capital verification institution.

5、依法设立的验资机构出具的验资证明。

6. If the shareholder’s first contribution is non-monetary property, submit the certification documents that have gone through the procedures of financial property transfer; if the shareholder’s first contribution is equity, submit the letter of commitment for equity subscription.

6、股东首次出资是非货币财产的，提交已办理财产权转移手续的证明文件；以股权出资的，提交《股权认缴出资承诺书》。

11. If the establishment of a limited liability company is required by laws, administrative regulations and decisions of the State Council to be approved, the relevant approval documents or copies of the license shall be submitted.

11、法律、行政法规和国务院决定规定设立有限责任公司必须报经批准的，提交有关的批准文件或者许可证书复印件。

12. The business scope of the company applying for registration includes items that must be submitted for approval before registration as required by laws, administrative regulations and decisions of the State Council, and relevant approval documents or copies of license certificates or license certificates shall be submitted.

4. Certificate of registered address and production and business address. If the production and business address are inconsistent with the registered address, corresponding certificates (original and copy of property ownership certificate and lease agreement) shall be provided respectively;

4.注册地址及生产、经营地址证明，如生产、经营地址与注册地址不一致，分别提供相应证明（房产证、租赁协议原件及复印件）；

5. Organization code certificate (original and copy);

5.组织机构代码证（原件及复印件）；

6. Approval certificate of foreign-funded enterprise (original and copy);

6.外商投资企业批准证书（原件及复印件）；

7. Investor’s certificate (natural person shall provide ID card or passport and other certificates, while other investors of economic nature shall provide organization code card or other registration certificate)

(8) Basic account opened by bank

1. Business license;

4. ID card of legal representative;

5. Account management agreement;

5.账户管理协议；

6. Official seal, seal, etc. (the first four cards shall be provided with originals and copies in duplicate)

6.公章、印鉴章等。（前四证带原件并复印件一式两份）

If the above matters are handled by non-enterprise legal person, the original and copy of power of attorney and ID card of the client shall also be provided.

上述事项办理，如非企业法人到场办理，还需提供授权委托书、委托人身份证原件及复印件。
